Terms of Service
Effective Date: 2 July 2026
These Terms of Service govern access to and use of InScope and related services provided by TheBIMLine Ltd.
1. Acceptance
1.1 Scope
These Terms of Service (“Terms") of TheBIMLine Ltd, ("TheBIMLine", "we," "our," or "us"), are an agreement that describes your and our rights, obligations, and responsibilities.
1.2 Read these Terms Carefully
PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION.
By accessing or using the InScope platform and related services (the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
1.3 Agreement, Customer & Participating Organisations
This Agreement is entered into between TheBIMLine and the organisation that has requested and is paying for access to InScope (the “Customer”).
Access to InScope may be granted to individuals whose details are provided by the Customer, including employees, contractors, clients and consultants of the Customer or of other organisations, companies, or entities involved in the Customer’s project (each a “Participating Organisation”). Collectively, such individuals are referred to as “Users”. By accessing or using InScope, each individual User represents and warrants that they are authorised to do so on behalf of their employer or organisation, and that their access to and use of InScope is subject to and must comply with these Terms. The Customer remains responsible for all use of InScope under this Agreement, including use by individuals associated with any Participating Organisation.
InScope is provided solely for business-to-business use. The Customer warrants that it is not a consumer and is acquiring access for business purposes only.
1.4 Internal and External Users
For the purposes of this Agreement:
- Internal Users are individuals designated by the Customer as part of the Customer’s core project or management team and are typically granted broad or full visibility of project information within InScope.
- External Users are individuals associated with contractors, consultants, or other participating organisations and are granted access only to information relevant to their role, assignments, or approved visibility settings.
2. Use of Services
2.1 Right to Use InScope
Subject to this Agreement, TheBIMLine grants the Customer a limited, non-exclusive, non-transferable right to access and use InScope solely for the internal business purposes of the Project as identified in the applicable service contract or order form.
InScope consists of structured Airtable-based environments, interfaces, workflows, automations, and related features configured and provided by TheBIMLine. This Agreement does not grant any rights to Airtable services or software, which are provided separately under Airtable’s applicable terms. Except as expressly permitted under this Agreement, the Customer shall not, and shall not permit any User to, copy, modify, distribute, sell, sublicense, or reverse engineer InScope or any part of it.
2.2 Acceptable Use
Users must use InScope in a lawful manner and in accordance with this Agreement and any applicable third-party terms, including Airtable’s acceptable use requirements.
Users must not:
- use the Services for unlawful or unauthorised purposes;
- upload content they do not have the right to use or disclose;
- attempt to gain unauthorised access to the platform or data;
- interfere with the security or integrity of the Services.
The Customer shall ensure that all Users comply with this Acceptable Use provision. TheBIMLine may suspend or restrict access to InScope where it reasonably believes the Services are being misused or used in breach of this Agreement or applicable third-party terms.
2.3 Professional Responsibility
InScope is provided as a project management, information coordination, and decision-support tool. It does not replace professional judgment, independent verification, or regulatory, contractual, or statutory responsibility. The Customer remains solely responsible for the accuracy, completeness, and use of information entered into InScope, for decisions made in reliance on outputs (including AI-assisted outputs), and for compliance with all applicable professional, contractual, and legal obligations.
2.4 Your Content
All content uploaded, entered, or otherwise made available within InScope (“User Content”) remains the property of the User that provides or controls such content.
InScope provides a structured environment, workflows, and features that operate on the Airtable platform. User Content is stored and hosted by Airtable in accordance with its applicable terms and policies. By using InScope, you grant TheBIMLine a limited, non-exclusive right to configure, access, and process User Content solely for the purpose of providing, supporting, and improving the InScope features you have requested, including investigating reported issues, troubleshooting errors, and responding to support requests. TheBIMLine will not use User Content for marketing or commercial exploitation, except as expressly authorised under Clause 18 (Publicity Rights) of this Agreement, and will not access or process User Content except as necessary to operate InScope or as instructed by you.
You are responsible for maintaining appropriate backups of your User Content. InScope is intended as a project management and coordination tool and not as a primary or archival data storage system.
2.5 Usage Data
InScope generates and processes certain technical and operational data relating to the use, configuration, and performance of the Services (“Usage Data”). Usage Data may include information such as system status, feature usage, configuration completeness, data integrity indicators, and error or health-check results. Usage Data does not include User Content.
TheBIMLine may use Usage Data solely for the purpose of operating, maintaining, supporting, and improving the InScope features, including monitoring system health, identifying configuration issues, and resolving reported or potential faults.
2.6 Data Governance, Visibility, and Sharing
InScope is structured so that access and visibility are based on clear, practical principles agreed with the Customer. Internal Users typically have full project visibility, while External Users are limited to information relevant to their role, assignments, or approved visibility settings.
TheBIMLine designs and configures the system interfaces, access structure, and page behaviour in accordance with this Agreement and the configuration and access decisions documented with the Customer from time to time, including through onboarding materials, written communications, or agreed system settings. The Customer is responsible for identifying which individuals are Internal or External Users and for confirming, at a practical level, which Users should have access to which areas of the system. Any access to or visibility of content within InScope that arises from the agreed system configuration, user assignments, or normal operation of the platform shall be deemed authorised by the Customer, including where information is visible through its association with a related task, record, or document.
2.7 User Attribution and Revision History
InScope is designed to record User attribution for certain actions within the platform, including the creation of records, submission of updates or notes, and the most recent modification of record fields (such as status changes). These actions are associated with the User’s Airtable account and corresponding InScope “Person” record and are intended to provide clear accountability within the project.
InScope can make use of record-level revision history functionality provided by the underlying Airtable platform. Revision history is a platform feature of Airtable and is subject to Airtable’s retention periods, plan limitations, and technical constraints, as determined by Airtable from time to time and dependent on the Airtable plan used by TheBIMLine. Revision history is not part of the core InScope service and is not enabled by default. At the Customer’s request, TheBIMLine may enable revision history on specific internal interfaces or pages, where appropriate. Where enabled, revision history is not guaranteed to be searchable or exportable and may not capture all changes, including those performed by automations or system processes.
User attribution and change history are provided to support day-to-day project management, accountability, and coordination between project participants. They are not intended or warranted to function as a complete forensic audit trail, compliance record, or evidentiary service. TheBIMLine does not guarantee the availability, completeness, accuracy, or ongoing retention of revision history and is not obliged to investigate, reconstruct, or provide historical changes.
2.8 Photographic Evidence and Metadata
InScope allows Users to upload and store photographic evidence for project records. However, where photographs are taken directly within InScope or uploaded through the InScope interface, original geolocation, timestamp, and EXIF metadata associated with images is not captured, processed, or preserved. This limitation arises from the functionality of the underlying Airtable platform on which InScope operates. As a result, photographs taken or uploaded through InScope may not retain metadata required for regulatory, compliance, or evidentiary purposes, including Building Control or similar regimes.
Where original photographic metadata is required, the Customer is responsible for capturing and retaining compliant originals using appropriate tools and for maintaining such records outside InScope. InScope may be used as a working reference copy only.
2.9 Service Changes, Suspension, and Termination
We may make changes to InScope from time to time, including adding, modifying, or removing features, as part of ongoing development and improvement of the Services. We may suspend or restrict access to InScope where we reasonably believe the Services are being misused, used in breach of this Agreement, or where payment is overdue. Access may be restored once the relevant issue is resolved.
InScope operates on the Airtable platform. We do not control changes to, suspension of, or termination of Airtable’s services and are not responsible for impacts arising from actions taken by Airtable in accordance with its own terms. Either party may terminate this Agreement on one month’s notice following any initial term specified in the applicable service contract or order form. If we cease operating InScope, reasonable notice will be provided where practicable, together with an opportunity for the Customer to export its data.
2.10 Monitoring and Enforcement
TheBIMLine may, but is not obliged to, monitor use of InScope and investigate suspected misuse or breach of this Agreement. Any such monitoring or investigation is undertaken solely for the purpose of operating, protecting, and enforcing InScope and does not constitute an obligation to review, supervise, or validate the substance of user content or activities. We may remove, restrict access to, or disable any content within InScope where it reasonably believes that such content: (a) breaches this Agreement or applicable law; (b) infringes the rights of any third party; or (c) poses a risk to the security, integrity, or operation of InScope or any third-party platform on which it relies.
Where reasonably practicable, TheBIMLine will notify the Customer of such action. However, we may take immediate action without prior notice where required by law, by a third-party platform, or to address security, legal, or operational risks.
2.11 Record Retention and Deletion
InScope is designed as a project management and record-keeping system intended to support project history, accountability, and traceability during day-to-day project delivery. As a result, deletion of records, content, or data is not available as a self-service function within InScope. Requests to remove or delete content may be considered by TheBIMLine on an administrative basis, subject to applicable legal, contractual, regulatory, and record-keeping obligations, and to the integrity of the project record. Where deletion is not appropriate, alternative measures such as access restriction, archival or removal from active interfaces may be applied instead.
2.12 Product Trials and Beta Features
From time to time, we may make new or experimental features available on a trial or beta basis (“Trial Features”). These features are provided to allow evaluation and feedback and may be modified, withdrawn, or discontinued at any time. They may be offered at no additional cost, included within existing pricing, or made available for an additional fee, as specified at the time they are offered. Use of Trial Features is optional and does not form part of the core Services unless and until formally adopted. Such features may also be subject to additional terms or limitations communicated at the time of use.
2.13 Templates & Guidance Materials
InScope may include templates, example records, sample workflows, suggested structures, guidance notes, marketing materials, demonstrations, training content, and other illustrative materials provided by TheBIMLine for general guidance (“Guidance Materials”). Guidance Materials are provided for informational and illustrative purposes only and do not constitute legal, professional, regulatory, technical, or project-specific advice nor constitute representations, warranties, or guarantees of outcomes. The Customer remains solely responsible for reviewing, adapting, and validating any Guidance Materials before use and for ensuring that their use complies with applicable laws, contractual obligations, and project requirements.
2.14 No Partnership or Agency
Nothing in this Agreement creates a partnership, joint venture, agency, fiduciary, or employment relationship between TheBIMLine and the Customer, and neither has authority to bind the other or act on the other’s behalf.
3. Airtable Platform Dependency
InScope is built on and operates through the Airtable platform, a third-party service. Use of InScope requires the Customer and its Users to maintain an active Airtable account and to accept and comply with Airtable’s applicable terms and policies governing use of Airtable’s services. InScope is an independent product and is not owned, operated, or controlled by Airtable. Use of InScope does not modify or replace the obligations of the Customer or its Users under Airtable’s terms, and the Customer remains responsible for ensuring such compliance.
We are responsible for maintaining our own Airtable account in good standing. However, we do not control Airtable and are not responsible for Airtable’s services, decisions, availability, security, feature changes, or continued operation. If Airtable suspends, restricts, or terminates access to its services—whether in relation to the Customer, its Users, or us—access to InScope may be partially or fully suspended or unavailable as a result. Airtable may modify, limit, or discontinue features, APIs, or functionality on which InScope relies. Where such changes materially affect InScope features, we will use reasonable efforts to adapt InScope where practicable, but shall not be deemed in breach of this Agreement due to any resulting reduction or change in functionality arising from Airtable’s actions. We do not provide independent data hosting, backup, or recovery services separate from the Airtable platform. In the event of any conflict between Airtable’s terms and this Agreement, Airtable’s terms shall prevail solely to the extent of such conflict and solely with respect to the use of Airtable’s services.
4. Intellectual Property & Feedback
4.1 Intellectual Property
All intellectual property rights in and to InScope, including its structure, interfaces, workflows, automations, and underlying logic, are owned by or licensed to TheBIMLine. Nothing in this Agreement transfers ownership of InScope or grants any rights beyond the limited right to use the Services as expressly set out in this Agreement. For the avoidance of doubt, InScope does not include Airtable’s software, platform, APIs, or services, all of which remain the intellectual property of Airtable and are governed by Airtable’s applicable terms.
4.2 Feedback
If you provide suggestions, ideas, feedback, or recommendations relating to InScope (“Feedback”), you acknowledge that such Feedback is provided voluntarily. We may use, implement, and incorporate such Feedback into the Services without restriction and without any obligation to you, including any obligation to compensate or credit you. For clarity, this clause does not grant TheBIMLine any rights to User Content, which remains subject to the “Your Content” clause of this Agreement.
5. AI-Assisted Features, Automated Outputs, and Limitations of Use
5.1 AI Features
InScope includes AI-assisted features, including OMNI, configured and implemented by TheBIMLine to support project management, information review, and decision-making by analysing and summarising information available within the platform. These features operate through prompts, logic, workflows, and controls defined by TheBIMLine and make use of AI capabilities made available via the Airtable platform. OMNI and other AI-assisted outputs are generated based on the content, structure, and context of information provided by Users and are intended to assist Users rather than replace professional judgement. AI-assisted outputs may be incomplete, inaccurate, or dependent on the quality and completeness of the underlying information. Users remain responsible for reviewing, verifying, and validating any AI-assisted outputs before relying on them. TheBIMLine does not warrant the accuracy, completeness, or suitability of AI-assisted outputs and accepts no responsibility for decisions, actions, or outcomes based on such outputs. Availability and performance of AI-assisted features are subject to Airtable’s AI services, usage limits, and technical constraints.
5.2 Automated Outputs and Actions
InScope may generate reports, summaries, notifications, or other outputs, and may support automated actions or workflows, including through Airtable functionality or third-party integrations. All generated outputs and automated actions are provided for informational and operational assistance only. The Customer is responsible for reviewing, verifying, and approving any outputs or actions before relying on them for compliance, contractual, statutory, or other purposes. TheBIMLine does not guarantee that automated actions will be executed without interruption or error, or that generated outputs will be complete, accurate, or suitable for any specific requirement.
5.3 Statutory Submissions and Filings
InScope may be used to track, coordinate, or evidence project activities and compliance tasks. However, InScope must not be relied upon, whether in whole or in part, as the system through which statutory filings, regulatory submissions, formal notices, or legally binding communications are made or deemed completed.
6. Fees, Payment, Termination & Cancellation
6.1 Subscription and Pricing
Access to InScope is provided on a subscription basis. Pricing, subscription term, and any applicable usage limits are set out in a separate service contract or order form agreed between TheBIMLine and the Customer. We may update subscription pricing from time to time. Any pricing changes will apply prospectively and will not affect pricing agreed for an existing subscription term, unless otherwise agreed in writing. Unless otherwise stated, subscriptions renew in accordance with the applicable service contract. Additional features or services may be offered at additional cost, as agreed in writing (including by email) at the time they are made available.
6.2 Billing and Payment
Subscription fees are payable in accordance with the applicable service contract or order form. Payment is made by direct debit using a third-party payment provider, unless otherwise agreed in writing. TheBIMLine currently uses GoCardless. By providing payment details, you authorise TheBIMLine and its payment provider to collect amounts due in accordance with the agreed subscription. We may change payment provider from time to time. Use of the payment services is subject to the applicable terms of the relevant payment provider. Subscription fees are due and payable in full. Any amounts not successfully collected remain payable until paid. If the payment provider is unable to process payment for any reason, the Customer remains responsible for payment by alternative means.
6.3 Renewals and Cancellation
After the initial contract period, subscriptions to InScope renew automatically on a monthly basis unless cancelled. To cancel a subscription, the Customer must give notice of cancellation in writing (including by email) before the next monthly renewal date. Where notice is given, the current billing period will continue as the final month of service, after which access to InScope will end. Subscription fees remain payable for the final month of service. No refunds are provided for partial billing periods.
6.4 Termination and Suspension
a) Termination by the Customer
The Customer may terminate its subscription in accordance with the cancellation and notice provisions set out in this Agreement.
b) Termination or Suspension for Non-Payment
If subscription fees are not paid when due, we may, after providing reasonable notice, suspend or restrict access to InScope, including placing the account in a read-only or suspended state. Continued non-payment may result in termination of access for the Customer and Users.
c) Effect of Termination
Following termination, access to InScope and associated portal access will be withdrawn. The Customer will be provided with a reasonable opportunity to export its user-entered record data in a commonly used format. Document files and attachments are not included in such exports and must be downloaded separately prior to termination. Exported data will be made available for a limited period following termination, after which it may be deleted at TheBIMLine’s discretion.
d) Statutory Records
The Customer remains responsible for complying with any legal or regulatory obligations to retain project records, including under building safety or compliance legislation.
7. Security Measures
InScope operates on the Airtable platform. Security of data hosted within InScope relies on the technical and organisational security measures implemented by Airtable in accordance with its applicable terms and policies. TheBIMLine applies reasonable administrative and operational measures within its own Airtable environment to support the secure configuration and operation of InScope. TheBIMLine is responsible only for the security of its own Airtable account and configuration and does not manage or control the Customer’s Airtable account, Users’ Airtable accounts or credentials, or Airtable’s underlying infrastructure. The Customer and its Users are responsible for maintaining the security and confidentiality of their own login credentials and for all activity carried out using those accounts, including ensuring that credentials are not shared and that available security features offered by Airtable are enabled where appropriate.
No system can be guaranteed to be completely secure, and TheBIMLine does not warrant that unauthorised access, cyber-attacks, data breaches, or other security incidents will not occur.
8. Copyright
Users are responsible for ensuring that they have the necessary rights to use, upload, and share any content made available through InScope. User Content is hosted and stored by Airtable. Any claims of copyright infringement relating to content hosted on the Airtable platform must be addressed in accordance with Airtable’s copyright and intellectual property procedures. Nothing in this Agreement obliges TheBIMLine to monitor content for copyright infringement or to take down content hosted on third-party services.
9. Third-Party Services and Extensions
InScope may rely on, or integrate with, third-party services, tools, or extensions, including services available through the Airtable platform or other providers (“Third-Party Services”), as part of the delivery and operation of InScope features. The selection, configuration, and use of any Third-Party Services is determined by TheBIMLine. In some cases, Third-Party Services may be introduced or modified in response to user feedback or feature requests, but such services remain part of InScope’s internal implementation and are not independently selectable or controllable by the Customer or its Users. Third-Party Services are subject to their own terms, policies, and technical limitations. We do not control, endorse, or warrant Third-Party Services and are not responsible for their availability, performance, accuracy, security, or continued operation. Third-Party Services may be modified, suspended, or discontinued by their providers at any time.
10. Indemnity
The Customer shall indemnify, defend, and hold harmless TheBIMLine and its directors, officers, and contractors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) User Content, including any allegation that User Content infringes or misappropriates the rights of a third party; (b) use of InScope by the Customer or its Users, including employees, contractors, or consultants; (c) breach of this Agreement or applicable law by the Customer or its Users; or (d) any breach of Airtable’s terms or other third-party platform terms by the Customer or its Users.
Without limiting the foregoing, the Customer shall be responsible for any losses, costs, or damages suffered by TheBIMLine as a direct result of the Customer’s or its Users’ conduct causing the suspension, restriction, or termination of TheBIMLine’s access to the Airtable platform. This clause survives termination of this Agreement.
11. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSCOPE AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THEBIMLINE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, AND AVAILABILITY. WITHOUT LIMITING THE FOREGOING, THEBIMLINE DOES NOT WARRANT THAT INSCOPE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS (INCLUDING AI-ASSISTED OUTPUTS) WILL BE ACCURATE, COMPLETE, OR RELIABLE. INSCOPE OPERATES ON THE AIRTABLE PLATFORM, AND THEBIMLINE MAKES NO WARRANTIES REGARDING THE PERFORMANCE, AVAILABILITY, OR CONTINUED OPERATION OF AIRTABLE OR ANY OTHER THIRD-PARTY SERVICES. NO ADVICE, INFORMATION, GUIDANCE, RECOMMENDATIONS, OR OUTPUTS (INCLUDING AI-ASSISTED OUTPUTS) PROVIDED BY THEBIMLINE, WHETHER ORAL OR WRITTEN OR OBTAINED THROUGH THE SERVICES, SHALL CREATE ANY WARRANTY OR COMMITMENT NOT EXPRESSLY SET OUT IN THIS AGREEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEBIMLINE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY LOSSES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THE USE OF INSCOPE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSSES. SUBJECT TO THE FOREGOING, THEBIMLINE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF INSCOPE SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO THEBIMLINE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THIS AGREEMENT SHALL EXCLUDE OR LIMIT LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW.
The limitations in this section apply regardless of whether the claim arises from use of InScope, reliance on outputs (including AI-assisted outputs), or the availability or performance of third-party services.
13. Confidential Information
13.1 Confidential Information
“Confidential Information” means any non-public information disclosed by one party to the other in connection with InScope, including project data, commercial information, technical information, system configurations, and business processes, whether disclosed orally, visually, or in writing. Confidential Information does not include information that is publicly available through no breach of this Agreement or was lawfully known by the receiving party prior to disclosure, or is independently developed by the receiving party without use of the Confidential Information, or is rightfully received from a third party without restriction on disclosure.
13.2 Protection and Use of Confidential Information
Each party shall use the other party’s Confidential Information solely for the purposes of performing or receiving the Services and shall take reasonable measures to protect it from unauthorised use or disclosure.
We may access Confidential Information as necessary to operate, support, maintain, and improve InScope, in accordance with this Agreement and the Privacy Policy.
13.3 Compelled Access or Disclosure
If a party is required by law, regulation, or court order to disclose Confidential Information, it may do so provided that, where legally permitted, it gives the other party reasonable notice of the disclosure and limits the disclosure to what is legally required.
13.4 Injunctive Relief
Each party acknowledges that unauthorised use or disclosure of Confidential Information may cause irreparable harm for which damages may be an insufficient remedy. Accordingly, the injured party may seek injunctive or equitable relief, in addition to any other remedies available under law.
14. Governing Law
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
15. Communications and Notices
15.1 Electronic Communications and Signatures
To the extent permitted by applicable law, the parties agree that electronic communications, records, and signatures shall have the same legal effect as written documents and handwritten signatures. This Agreement may be accepted electronically, including by clicking to accept or by use of InScope, and such acceptance shall constitute a binding agreement.
15.2 Notices
Notices under this Agreement may be given by email to the most recent email address provided by the Customer or through InScope. Notices will be deemed received when sent, unless the sender receives an automated message indicating delivery failure. Notices are required to be given to the Customer only and shall be deemed effective for all Users.
16. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement (other than payment obligations) where such failure or delay results from events beyond its reasonable control, including acts of God, war, terrorism, pandemic, governmental action, failure of utilities or internet services, or outages of third-party platforms or infrastructure. The affected party shall use reasonable efforts to mitigate the effects of the force majeure event and resume performance as soon as reasonably practicable.
17. Sanctions and Restricted Use
The Customer represents and warrants that it will not use, and will ensure that its Users do not use, InScope in violation of applicable trade sanctions, export controls, or similar laws or regulations. We may suspend or restrict access to InScope where it reasonably believes that continued use would expose TheBIMLine or the underlying platform to regulatory, sanctions, or export-control risk, and will notify the Customer where reasonably practicable and not prohibited by law.
18. Publicity Rights
The Customer grants TheBIMLine a non-exclusive, revocable right to identify it as a customer of InScope, including use of its name and logo, for general marketing and promotional purposes. Any case studies, testimonials, or public references describing its use of InScope beyond simple identification by name or logo require prior written approval. TheBIMLine shall not disclose Confidential Information as part of any publicity or marketing activity. This permission may be withdrawn at any time by written notice, in which case TheBIMLine will cease use of the name and logo in new marketing materials and remove them from existing marketing materials within a reasonable period.
19. General
19.1 Assignment
The Customer may not assign, transfer, or novate this Agreement, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of TheBIMLine. We may assign or transfer this Agreement, in whole or in part, without restriction, including in connection with a merger, reorganisation, or sale of all or substantially all of its business or assets. Any attempted assignment in violation of this section shall be void.
19.2 Notifications and Changes to these Terms
TheBIMLine may update or modify this Agreement from time to time. Where changes are made, we will provide reasonable notice to the Customer, including by email or through InScope. We will not materially reduce the core functionality of InScope during an active subscription term without reasonable notice. Any changes will take effect on the date specified in the notice. Continued use of InScope by the Customer or any User accessing InScope under the Customer’s authority on or after the effective date constitutes acceptance of the updated Agreement. If the Customer does not agree to the updated Agreement, it may discontinue use of InScope and terminate the subscription in accordance with the termination provisions of this Agreement.
19.3 Entire Agreement
This Agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
19.4 Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19.5 No Waiver
No failure or delay by either party to exercise any right or remedy under this Agreement shall operate as a waiver of that right or remedy. Any waiver must be in writing and signed by the waiving party.
